NOTICE OF EXTRAORDINARY MEETING

16th October 2015 at 5:30pm at the Bendigo Bank Stadium

The Board of Peel Thunder Football Club requests the attendance of members to an extraordinary meeting to transact the following business.

The membership at the 2014 AGM discussed the availability of auditor reports for members prior to the AGM. Discussion was that the time between the end of the financial year and AGM made it difficult to have the report available. The Associations Act and Regulations allows for an AGM to be held up to four months after the end of the financial year. The Board is therefore seeking the following change to the Constitution.

Motion:

It is moved that clause 20 which reads “The Annual General Meeting of the Club shall be held no later than 7.30pm on a day to be fixed by the Board no later than the Sunday prior to 25th December every year for the following purpose:”
be changed to read

“The Annual General Meeting of the Club shall be held no later than the 28th February every year for the following purpose:”

20. The Annual General Meeting of the Club shall be held no later than 7.30pm on a day to be fixed by the Board no later than the Sunday prior to 25th December every year for the following purpose:

• (a)  To receive the Board’s Report and Balance sheet as at 31st October of each year. 
• (b)  To elect or endorse the appointment of members to the Board. 
• (c)  Deleted 
• (d)  To transact other business as shall be brought forward by due notice exhibited on the notice board of the Club for at least fourteen (14) days immediately preceding the day of the meeting appointed for its consideration.
•  (e) An Extraordinary General Meeting may be called at any time by direction of the Board, or shall be called by the Secretary upon request, in writing, of at least twenty (20) Ordinary or Life Members of the Club.
• (f) Seven (7) days notice of the time and place of any General Meeting and of the proposed business shall be exhibited on the notice board of the club by the Secretary. 
• (g) Twenty financial members of the Club present at any meeting shall form a Quorum.

Any other reference in the Constitution to the date and time of the Annual General Meeting to be amended accordingly.
